Welcome to iHolda, where community, creativity, and commerce converge. These Terms and Conditions (“Terms”) govern your access to and use of the iHolda mobile application, the website at iholda.com, and related services (collectively, the “Services”) operated by iHolda.

By using the Services, you agree to these Terms. Please also read our Privacy Policy, Community Guidelines, and Merchant & Commerce Terms, which are incorporated by reference where applicable.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Services. You must not be prohibited from using the Services under applicable law. You may maintain only one personal account unless we expressly authorize otherwise (for example a separate merchant or business account).
3. Account registration and security
You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for safeguarding your credentials (including your unlock PIN or password) and for all activity under your account.
You may deactivate your account temporarily or delete it permanently through the app (Profile → Settings → Manage account) or by contacting support. See our Privacy Policy for how we handle deletion and retention.
4. License to use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the iHolda application and website for personal or authorized commercial use. You may not copy, modify, reverse engineer, or resell the Services except as permitted by law or with our written consent.
5. User content and license to iHolda
You retain ownership of content you create, upload, or share (including posts, photos, videos, audio, messages, live streams, and reviews). By posting content, you grant iHolda a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, promote, and otherwise use your content as needed to operate, improve, and market the Services (including feeds, recommendations, and safety moderation).
You represent that you have the rights to post your content and that it does not violate these Terms, our Community Guidelines, or any third-party rights.
6. Prohibited conduct
- Using the Services for unlawful, fraudulent, or harmful purposes.
- Harassment, hate speech, threats, exploitation, or endangering others (see Community Guidelines).
- Impersonation, spam, or automated scraping without permission.
- Circumventing trust tiers, Community Points rules, verification, or commerce restrictions.
- Uploading malware or attempting unauthorized access to accounts or systems.
7. Moderation and enforcement
We maintain a zero-tolerance approach to objectionable content and abusive behaviour. We may remove content, restrict features, suspend, or terminate accounts at our discretion. Detailed rules, reporting steps, and Community Points policies are in our Community Guidelines.
8. Virtual currency and purchases
Cowries and other virtual items have no cash value, are not legal tender, and are not transferable outside the Services except as we expressly allow. Purchases, orders, gifts, and merchant activity are governed by our Merchant & Commerce Terms.
iHolda is not a bank, money transmitter, or escrow provider. Payment processing is handled by third-party providers.
9. Third-party services
The Services integrate third parties such as payment processors (Stripe, Paystack, Korapay), live video (Agora), push notifications (Firebase), crash reporting (Sentry), email delivery, cloud hosting, and Cartpo for linked commerce. Your use of those services may be subject to their terms.
10. Trust, verification, and offline safety
We may offer verification, trust tiers, references, and Community Points to encourage authentic community behaviour. We may require or offer KYC or community verification for certain features.
iHolda does not guarantee the identity, conduct, or safety of any user. You are solely responsible for your decisions to communicate, meet, or transact offline. Use common sense and meet in safe public places when meeting people from the app.
11. Intellectual property
The iHolda name, logos, app design, and our proprietary materials are owned by or licensed to iHolda. You may not use our trademarks without permission. If you believe content on the Services infringes your rights, contact support@iholda.com.
12. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or the accuracy of recommendations, rankings, or user-generated content.
13. Limitation of liability
To the fullest extent permitted by law, iHolda and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for claims relating to the Services in any 12-month period is limited to the greater of (a) amounts you paid to iHolda for the Services in that period (excluding amounts passed to merchants or creators) or (b) one hundred pounds sterling (£100), except where liability cannot be limited under applicable law (including death or personal injury caused by negligence, or fraud).
14. Indemnity
You agree to indemnify and hold iHolda harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Services, your violation of these Terms, or your dealings with other users or merchants, except to the extent caused by our gross negligence or wilful misconduct.
15. Dispute resolution and governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England and Wales have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court.
If you are a consumer in the United Kingdom or European Economic Area, nothing in these Terms limits mandatory rights you have under applicable consumer protection law. You may also use alternative dispute resolution schemes where available.
16. Changes to these Terms
We may update these Terms from time to time. We will post the current version on iholda.com and may notify you in the app or by email for material changes. Continued use after the effective date constitutes acceptance, except where the law requires your consent.
